Terms & Conditions

Stratum Critical

1. Introduction

These Terms & Conditions (“Terms”) govern your access to and use of the website operated by Stratum Critical (“Stratum Critical,” “we,” “us,” or “our”), and any consulting services provided by Stratum Critical.

By accessing this website or engaging our services, you agree to be bound by these Terms.
 

2. Nature of Services

Stratum Critical provides professional consulting and advisory services related to cloud infrastructure, AWS migrations, and infrastructure modernization.

We do not:

  • own, operate, or manage client infrastructure

  • host systems or data

  • provide managed services

  • sell software, platforms, or licenses

  • develop or maintain application code

All services are provided on a project-based basis, as defined in a written agreement, statement of work (“SOW”), or engagement letter.

Each engagement has a defined scope, duration, and end date.
 

3. Client Infrastructure and Responsibility

All client systems, infrastructure, accounts, data, and environments remain the sole responsibility and property of the client at all times.

Stratum Critical:

  • does not assume ownership or control of any infrastructure

  • does not act as a data processor or data controller unless explicitly agreed in writing

  • does not guarantee the security, availability, performance, or compliance of client systems

Clients are responsible for:

  • maintaining appropriate backups

  • managing credentials and access controls

  • ensuring compliance with applicable laws and regulations

  • validating final configurations and outcomes
     

4. Access to Client Systems

During an engagement, clients may grant Stratum Critical temporary, limited access to systems solely for the purpose of performing agreed services.

  • Access is granted at the client’s discretion

  • Access is used only for project execution

  • Access is removed or revoked upon project completion or stabilization period

Stratum Critical does not retain credentials or persistent access beyond the agreed engagement period.
 

5. Security and Confidentiality

Stratum Critical will take reasonable steps to:

  • protect confidential information

  • avoid unauthorized disclosure

  • limit access to authorized personnel only

We do not:

  • store client production data

  • copy client data outside the scope of the engagement

  • share client information with third parties

Clients acknowledge that ultimate responsibility for system security remains with the client.
 

6. No Warranties

All services are provided “as is” and “as available.”

To the maximum extent permitted by law, Stratum Critical disclaims all warranties, including:

  • implied warranties of merchantability

  • fitness for a particular purpose

  • non-infringement

We do not guarantee:

  • uninterrupted service

  • error-free outcomes

  • specific business results

  • cost savings or performance improvements
     

7. Limitation of Liability

To the maximum extent permitted by law:

Stratum Critical shall not be liable for:

  • indirect, incidental, special, or consequential damages

  • loss of data, revenue, profits, or business

  • downtime or service interruptions

  • third-party actions or failures

Our total liability for any claim arising from an engagement shall not exceed the total fees paid to Stratum Critical for that engagement.

8. Intellectual Property

All pre-existing intellectual property remains the property of its respective owner.

Unless otherwise agreed in writing:

  • Stratum Critical retains ownership of its methodologies, templates, tools, and know-how

  • Clients retain ownership of their systems, data, and configurations
     

9. Third-Party Services

Our services may involve third-party platforms (including AWS).

Stratum Critical is not responsible for:

  • third-party service availability

  • pricing changes

  • outages or security incidents

  • contractual terms between clients and third parties

Clients remain solely responsible for their agreements with third-party providers.
 

10. Termination

Either party may terminate an engagement in accordance with the applicable SOW or agreement.

Upon termination:

  • all access granted to Stratum Critical will be revoked

  • outstanding fees become payable

  • confidentiality obligations survive
     

11. Governing Law

These Terms are governed by the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to conflict of law principles.
 

12. Changes to These Terms

Stratum Critical may update these Terms from time to time. Continued use of the website or services constitutes acceptance of the updated Terms.
